General Terms and Conditions of Sale of Dtp Studio Schuurman (OutdoorCanvas.com)

Article 1. Applicability

1.1 These General Terms and Conditions of Sale (hereinafter: the Terms) apply to all offers, orders and agreements of Dtp Studio Schuurman (hereinafter: Dtp Studio (OutdoorCanvas.com)), to the exclusion of any other general terms and conditions. These Terms have been filed with the Chamber of Commerce in Harderwijk under number 54721490 and will be sent to you on request. These Terms can also be viewed online at: https://www.outdoorcanvas.com/.
1.2 By accepting an offer or placing an order, you accept that these Terms apply.
1.3 Any departure from these Terms must be agreed in writing, in which case the remaining provisions will remain in full force.
1.4 All rights and entitlements stipulated in these Terms and any further agreements for the benefit of Dtp Studio (OutdoorCanvas.com) are also stipulated for the benefit of intermediaries and other third parties engaged by Dtp Studio (OutdoorCanvas.com).

Article 2. Offers and agreements

2.1 All offers made by Dtp Studio (OutdoorCanvas.com) are non-binding, and Dtp Studio (OutdoorCanvas.com) expressly reserves the right to change prices, particularly where required by statutory or other regulations. See also article 3.6.

2.2 An agreement is only formed once Dtp Studio (OutdoorCanvas.com) has accepted your order. Dtp Studio (OutdoorCanvas.com) may refuse orders or attach specific conditions to shipping, unless expressly stated otherwise. If an order is not accepted, Dtp Studio (OutdoorCanvas.com) will notify you within ten (10) working days of receiving the order.

2.3  Gift cards issued by OutdoorCanvas.com are valid for twelve (12) months from the date of issue, unless expressly stated otherwise on the gift card. Once it has expired, the gift card can no longer be redeemed, and all rights to use it or receive a refund lapse, with no entitlement to a full or partial refund.

Article 3. Prices and payment

3.1 The prices shown for the products and services offered are in euros, including VAT and excluding shipping charges, any taxes or other levies, unless stated otherwise or agreed in writing.
3.2 Payment must be made before shipping of the product concerned.
3.3 Payment may be made in advance.
3.4 If you miss the payment deadline, you will be in default from the day payment was due and will owe late payment interest of 1% per month or part of a month on the outstanding amount from that day. If payment is made after a reminder from Dtp Studio (OutdoorCanvas.com), you will owe an administration fee of twenty-two euros and sixty-nine cents (€ 22,69), and if Dtp Studio (OutdoorCanvas.com) refers the debt for collection, you will also owe collection costs of at least fifteen percent (15%) of the outstanding amount, without prejudice to the right of Dtp Studio (OutdoorCanvas.com) to claim the actual extrajudicial collection costs incurred instead.
3.5 If you default on any payment, Dtp Studio (OutdoorCanvas.com) may suspend performance of, or terminate, the agreement concerned and any related agreements.
3.6 If the prices of the products and services offered increase between placing your order and its fulfillment, you may cancel your order or terminate the agreement within ten (10) days of Dtp Studio (OutdoorCanvas.com) notifying you of the price increase.

Article 4. Shipping

4.1 Shipping times stated by Dtp Studio (OutdoorCanvas.com) are estimates only. If shipping cannot be made within 30 days, the agreement may be terminated free of charge and without notice of default.
4.2 Shipping of the products takes place at the location and time at which they are ready for shipment to you.

4.3 If you have not received your package, you must contact us by email within 10-20 days of placing your order so that the situation can be clarified. Complaints will no longer be considered after this period.

Article 5. Retention of title

5.1 Ownership of the products supplied will only pass to you once you have paid all amounts owed to Dtp Studio (OutdoorCanvas.com) under any agreement. Risk in the products passes to you upon delivery.

Article 6. Intellectual and industrial property rights

6.1 You must fully and unconditionally respect all intellectual and industrial property rights relating to the products supplied by Dtp Studio (OutdoorCanvas.com).
6.2 Dtp Studio (OutdoorCanvas.com) does not guarantee that the products supplied to you do not infringe any third-party intellectual and/or industrial property rights, whether written or unwritten.

Article 7. Complaints and liability

7.1 You must check upon delivery that the products supplied conform to the agreement. If they do not, you must notify on the day of receipt both the carrier and Dtp Studio (OutdoorCanvas.com) in writing or by email of the issue.

7.2 If it is established that the products supplied do not conform to the agreement, Dtp Studio (OutdoorCanvas.com) may, at its discretion, replace the products concerned with new ones once they have been returned, or refund the invoice amount.

7.3 All products offered on the OutdoorCanvas.com website are made to measure and therefore cannot be returned or canceled, unless otherwise agreed or there is a demonstrable manufacturing or production defect.

7.4 All products are supplied with a tolerance of ± 1 to 10 millimeters . For example: for an order measuring 150 × 100 cm, the actual measurement may be between 149,5 and 150,5 cm . This is because the material used is flexible and small variations in size are technically unavoidable.

7.5 As an exception to article 7.4, products with a tunnel hem finish have a size tolerance of 1 to 3 centimeters. This means that an outdoor canvas measuring 150 × 100 cm may measure between 147 and 150 cm including the tunnel hem. Exact dimensions are not possible with this system.

7.6 As an exception to article 7.4, outdoor canvases with stainless steel eyelets measuring more than 200 cm in length or width have a size tolerance of 1 to 3 centimeters.

7.7 Trimming allowance and image loss. When trimming material supplied by you, Dtp Studio (OutdoorCanvas.com) applies a technical trimming allowance of at least 1 to 1,5 centimeters on all sides . You acknowledge and accept that this may result in the loss of part of the image, design or other visual elements along the edges.

Dtp Studio (OutdoorCanvas.com) cannot be held liable for any loss of imagery or design elements resulting from this necessary trimming allowance, as it is inherent to the production process and required for a neat finish.

7.8 Minor imperfections or damage measuring no more than 2 millimeters are considered to be within production tolerances and do not entitle you to a warranty claim or replacement.

7.9 Damage to the can­vas occurring after installation or fitting is not covered by the warranty.

Article 8. Orders and communication

8.1 Dtp Studio (OutdoorCanvas.com) is not liable for misunderstandings, corruption, delays or failures in the proper transmission of orders and communications resulting from the use of the Internet or any other means of communication between you and Dtp Studio (OutdoorCanvas.com), or between Dtp Studio (OutdoorCanvas.com) and third parties insofar as these relate to your relationship with Dtp Studio (OutdoorCanvas.com), unless and to the extent that they result from willful misconduct or gross negligence on the part of Dtp Studio (OutdoorCanvas.com).

Article 9. Force majeure

9.1 Without prejudice to its other rights, in the event of force majeure Dtp Studio (OutdoorCanvas.com) may, at its discretion, suspend fulfillment of your order or terminate the agreement without court intervention by notifying you in writing, without being liable to pay any compensation, unless this would be unacceptable in the circumstances according to the principles of reasonableness and fairness.
9.2 Force majeure means any failure to perform that cannot be attributed to Dtp Studio (OutdoorCanvas.com), because it is not its fault and is not its responsibility under the law, a legal act or generally accepted standards.

Article 10. Miscellaneous

10.1 If you provide Dtp Studio (OutdoorCanvas.com) with an address in writing, Dtp Studio (OutdoorCanvas.com) may send all orders to that address unless you notify Dtp Studio (OutdoorCanvas.com) in writing of another address to which your orders should be sent.
10.2 If Dtp Studio (OutdoorCanvas.com) permits departures from these Terms, whether implicitly or otherwise and for any length of time, this does not affect its right to require immediate and strict compliance with these Terms at any point. You may never claim any rights on the grounds that Dtp Studio (OutdoorCanvas.com) has applied these Terms flexibly.
10.3 If one or more provisions of these Terms or any other agreement with Dtp Studio (OutdoorCanvas.com) conflict with any applicable legal requirement, the provision concerned will cease to apply and will be replaced by a similar, legally permissible provision determined by Dtp Studio (OutdoorCanvas.com).
10.4 Dtp Studio (OutdoorCanvas.com) may engage third parties to fulfill your order(s).

Article 11. Governing law and jurisdiction

11.1 These Terms and all rights, obligations, offers, orders and agreements to which they apply are governed exclusively by Dutch law.
11.2 All disputes between the parties will be submitted exclusively to the competent court in the Netherlands.

Article 12. Color guarantee

12.1  The color guarantee applies when at least 50% of the photo has lost its color.

12.2  The color guarantee does not apply if cleaning products containing chemicals that cause colors to fade have been used.
